Assel has transactional experience in representing a broad range of public and private entities, mining, oil & gas and renewable energy projects in all aspects of corporate governance, merger and acquisitions, project financing, restructuring, legal due diligence and regulatory matters.

• Representation of Qatar-based Lesha Bank on 100% acquisition of the share capital in Kazakhstan-based Bereke Bank JSC from Baiterek National Management Holding JSC, a Kazakhstan sovereign wealth fund for the approximately US$135 million. Work included conducting complex bank due diligence, advising on banking regulatory landscape, drafting and negotiating M&A transactional documents.
• Representation of the client in connection with the proposed acquisition of the equity interest of approximately 50% in three operating solar photovoltaic projects in solar companies in Kazakhstan. Work involves providing regulatory advice with regard to share acquisition and financing arrangements, conducting legal due diligence.
• Representation of AIIB, EBRD, ICBC and the Green Climate Fund in relation to the project financing for the construction and operation of the 100 MW Zhanatas wind farm in Kazakhstan, the largest of its wind turbines kind in Central Asia. The transaction was awarded “Deal of the Year” for 2021 by China Business Law Journal, and the “Projects & Energy Deal of the Year” by The In-House Community.
• Representation of EBRD in relation to the project financing for the construction and operation of the 100 MW Shokpar wind farm in Kazakhstan. Work includes conducting due diligence, advising on regulatory landscape, managing and addressing various complex issues with respect to renewable energy sources regulation
