• Representation of National Company KazMunayGas JSC (KMG), a national oil and gas company, and Samruk-Kazyna, Kazakhstan's national welfare fund as selling shareholder on IPO of c.18.3 million ordinary shares of KMG owned by Samruk-Kazyna on the Kazakhstan Exchanges (AIX and the Kazakhstan Stock Exchange). It was the first IPO on AIX to be based on prospectus prepared exclusively in accordance with AIX regulations.
• Representation of Nostrum Oil & Gas PLC (Nostrum), a UK-listed oil and gas company engaging in the production of oil and gas in the pre-Caspian Basin in Kazakhstan, in connection with its financial restructuring of c. US$1.125 billion in principal of senior unsecured notes.
• Representation of Nostrum in relation to its acquisition of 80% stake in POSITIV Invest, a Kazakhstan oil & gas company holding subsoil use licenses with respect to the Stepnoy Leopard fields in West Kazakhstan.
• Representation of the senior international lenders EBRD and IFC in the secured financing of the Almaty International Airport reconstruction in the amount of US$450 million. The transaction was named “M&A/Acquisition Finance Deal of the Year” by Bonds, Loans & Sukuk Turkey Awards 2022.
• Representation of EBRD in relation to the project financing for the construction and operation of the 100 MW Shokpar wind farm in Kazakhstan. Work includes conducting due diligence, advising on regulatory landscape, managing and addressing various complex issues with respect to renewable energy sources regulation.
• Representation of a major Kazakhstan mining company as a seconded in-house counsel on corporate governance and shareholder relations.
